SaaS Subscription Terms

The standard terms for NOVIQ People subscriptions and for use of this website.
1. About these terms
NOVIQ People is a product of NOVIQ IT LTD, a company registered in England and Wales (company number 17181051) with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom. In these terms, "we", "us" and "our" mean NOVIQ IT LTD, and "customer" means the business that subscribes to NOVIQ People.
These are the standard NOVIQ People SaaS Subscription Terms. They also cover use of this website. A subscription is made up of these terms, the customer order (recording details such as the customer's legal name, employee quantity, monthly amount, initial term, billing basis and start date) and, where we process personal data on the customer's behalf, the NOVIQ People Data Processing Agreement.
2. Business customers
NOVIQ People is provided to businesses and organisations for business use. It is not offered to consumers. By subscribing, you confirm you are acting for a business and are authorised to bind it.
3. Using this website
Information on this website is for general information and does not form a contract. Sample screens are illustrative. We may change, suspend or withdraw the website without notice.
You must not use the website unlawfully, attempt unauthorised access, introduce harmful material, submit false or automated enquiries, or interfere with its operation or security.
4. Enquiries and how a subscription is formed
Submitting a Contact, Book a Demo or Get Started form is an enquiry only. It does not create a subscription or any obligation to pay. Online checkout is not yet available. A subscription begins only when the customer order is confirmed by both parties.
5. Pricing and VAT
- £2.50 per employee per month
- £25 minimum monthly subscription (up to 10 employees: £25/month)
- From 11 employees: £2.50 × employee count per month
- All core modules included; no hidden costs
All prices are exclusive of VAT, which is added where applicable. Calculator and Get Started figures are estimates; the amount payable is confirmed in the customer order. The monthly charge reflects the employee quantity recorded for the customer.
6. Setup
There is no setup fee for standard onboarding. This covers the normal deployment and configuration needed to establish the customer's standard NOVIQ People environment. Major bespoke development, integrations or consultancy outside the standard product are not included in the subscription and may be quoted separately where agreed.
7. Initial term, renewal and cancellation
Standard subscriptions have a 12-month initial subscription term, billed monthly. The customer does not pay the 12 months upfront.
After the initial term, the subscription continues on a rolling monthly basis. There is no automatic renewal for a further 12 months. After the initial term, the customer may end the subscription by giving 30 days' written notice.
8. Billing and payment
Subscriptions are billed monthly in advance, with payment due at the start of each monthly billing period. Online card payment will become the standard method once available; other payment arrangements may be agreed by us where appropriate.
If a payment fails, we may make reasonable attempts to collect it and will give the customer reasonable notice. Continued non-payment may result in suspension of access, and termination rights may apply under these terms.
9. Refunds
Subscription charges already paid are non-refundable for part-used billing periods, except where required by law, where expressly agreed by NOVIQ IT LTD, or where another contractual remedy applies.
10. Customer Portal access
Each customer has its own dedicated environment. The customer is responsible for managing its authorised users and keeping sign-in details confidential. Users must not access any environment they are not authorised to use.
11. Customer responsibilities
The customer is responsible for the accuracy and lawfulness of the information it enters, for its own systems, devices and configuration, and for using NOVIQ People in line with applicable law, including employment and data protection law.
12. Support
Standard support is provided through NOVIQ People / NOVIQ IT LTD support channels. Specific support commitments may be agreed separately where applicable.
13. Service availability
We will provide NOVIQ People with reasonable care and skill. We do not offer a numerical uptime guarantee or service credits under these standard terms. Availability may be affected by:
- Planned and emergency maintenance
- Internet or network issues outside our reasonable control
- Interruptions to third-party or cloud platforms
- Customer-side systems or configuration
- Other circumstances outside our reasonable control
Nothing in this section removes obligations that cannot lawfully be excluded.
14. Data protection
Our use of personal information collected through this website is described in our Privacy Policy. Where we process personal data on the customer's behalf, the applicable NOVIQ People Data Processing Agreement forms part of the contractual arrangement.
15. Suspension and termination
We may suspend access for continued non-payment, after reasonable notice, or where reasonably necessary to protect the service or other customers. Either party may terminate where the other materially breaches these terms and, where the breach can be remedied, fails to remedy it within a reasonable period after notice. On termination, access ends and customer data is handled in line with the Data Processing Agreement.
16. Intellectual property and confidentiality
NOVIQ People, this website and their content are owned by or licensed to NOVIQ IT LTD. The customer receives a right to use NOVIQ People for its internal business purposes during the subscription. The customer retains ownership of its own data. Microsoft and Microsoft 365 are trademarks of the Microsoft group of companies.
Each party will keep the other's confidential information confidential and use it only for the purposes of the subscription, unless disclosure is required by law.
17. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
Subject to that, our total aggregate liability arising out of or in connection with the subscription, whether in contract, tort (including negligence) or otherwise, is limited to 100% of the subscription fees paid or payable for NOVIQ People during the 12 months preceding the event giving rise to the claim.
18. Third-party services and links
The service and website may rely on or link to third-party services. We are not responsible for the content of third-party websites.
19. Changes to the service and these terms
We may improve and update NOVIQ People and these terms from time to time. Material changes affecting an existing subscription will be notified to the customer in advance. The date at the top of this page shows when these terms were last changed.
20. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
